Affiliate Agreement

This Affiliate Agreement ("Agreement") is entered into by and between Upsampler.com ("Company") and the individual or entity registering as an affiliate ("Affiliate"). By signing up for the affiliate program, you agree to the terms outlined below.
1. Enrollment in the Affiliate Program
1.1. To participate, the Affiliate must sign up to the program.
1.2. Upsampler.com reserves the right to approve or reject any application at its sole discretion.
1.3. The Affiliate must provide accurate information during registration and keep their details updated.
2. Affiliate Responsibilities
2.1. The Affiliate will promote Upsampler.com using unique referral links provided by the Company.
2.2. The Affiliate must not engage in misleading advertising, spamming, or unethical marketing practices.
2.3. The Affiliate is responsible for compliance with applicable laws and regulations regarding marketing and advertising.
3. Commissions and Payments
3.1. Affiliates earn a 10% commission on one-time credit purchases and 30% recurring commissions for up to 12 months on subscriptions.
3.2. The commission is valid for purchases made within 30 days of a user's first click (cookie duration).
3.3. Payments are made 30 days after the end of each month, once the Affiliate's balance reaches a $25 minimum payout.
3.4. Refunds or chargebacks will result in the commission being deducted.
4. Tracking and Dashboard
4.1. Affiliates can track referrals, commissions, and payments in real time through a dashboard.
4.2. All tracking is based on cookies; commissions apply only to purchases made within the 30-day cookie duration.
5. Restrictions and Prohibited Activities
5.1. Affiliates may not bid on paid search ads using Upsampler.com trademarks.
5.2. Affiliates must not promote the service through misleading claims or deceptive practices.
5.3. Affiliates cannot use their own affiliate links to make personal purchases.
6. Termination
6.1. Either party may terminate this Agreement at any time with written notice.
6.2. Upsampler.com reserves the right to suspend or terminate any Affiliate account for violating the terms of this Agreement.
6.3. Upon termination, unpaid commissions below the minimum payout threshold will be forfeited.
7. Liability and Disclaimers
7.1. The Company is not responsible for any indirect, special, or consequential damages arising from participation in the program.
7.2. Upsampler.com makes no guarantees regarding the amount of commissions the Affiliate may earn.
8. Governing Law
8.1. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware.
8.2. Any disputes arising out of this Agreement shall be resolved in the courts of New Castle County, Delaware.
9. Modifications
9.1. The Company reserves the right to modify the terms of this Agreement at any time.
9.2. Affiliates will be notified of any changes, and continued participation in the program constitutes acceptance of the updated terms.
By signing up for the affiliate program, you acknowledge that you have read, understood, and agreed to this Affiliate Agreement.
